Representative transactions:

  • Represented the purchaser of several rental apartment complexes in Georgia.
  • Represented the seller in connection with the separate sales of several rental apartment complexes in New York, New Jersey, Texas, Florida and Michigan.
  • Represented the purchasers of regional shopping centers in New York and Alabama.
  • Represented the purchaser of a long-term ground lease of property in mid-town Manhattan that has been converted into a hotel.
  • Represented the seller of a portfolio of medical office buildings throughout the southeast.
  • Represented the seller of The Fairmont Hotel in Dallas, Texas.
  • Represented one of the joint venture partners that acquired The Plaza Hotel in New York City.

Finance:


We regularly represent lenders and borrowers in acquisition, construction, refinancing and revolving credit loans secured by real estate and/or other assets.

Representative Transactions:

  • CCNY TowersRepresented the borrower in acquisition and construction loans for the development of a hotel in New York.
  • Represented a not-for-profit corporation in the tax-free public financing of the construction of the first on-campus dormitory at the City College of New York’s uptown campus.
  • Represented the lender in a revolving credit line facility provided to an auto parts distributor in New York.
  • Represented a cooperative apartment building in Manhattan in the refinancing of its underlying loan.
  • Represented the borrower in connection with acquisition financing for a portfolio of office buildings in Florida.

Debt Acquisition, Workouts and Reorganizations:

We’ve counseled investors, lenders and borrowers in connection with the purchase of distressed debt and the restructuring of loans.

Representative Transactions:Property Managment

  • Represented the purchaser of a construction loan that went into default midway through construction of a residential and commercial condominium project in Williamsburg, Brooklyn. The transaction included negotiations with the borrower, the purchase of a tenancy-in-common interest in adjacent commercial property and the formation of a joint venture with the owner of the remaining TIC interest, as well as separate financings of the purchase of the debt and the completion of construction.
  • Represented the purchaser of a loan in default secured by an apartment building in Florida.
  • Represented the purchaser of a construction loan in foreclosure on a residential and commercial condominium project in Sheepshead Bay New York.
  • Represented the purchaser of a defaulted loan secured by an office building on Park Avenue in New York City. The transaction included a complicated pre-packaged bankruptcy plan of reorganization.


Joint Ventures and Business Formation:150-Fifth-Avenue

We have guided institutions, individuals and companies in connection with forming limited liability companies, corporations, partnerships and other ventures for the ownership of individual properties, creating funds to purchase identified or unidentified properties fitting a certain criteria and relating to businesses unrelated to real estate.

Representative Transactions:

  • Represented the sponsor partner company in the formation of a $100 Million equity fund with an institutional opportunity fund formed to purchase multi-family apartment properties, as well as several subsequent purchase of such properties in the Southeastern United States.
  • Represented a limited partner in an investment in a condominium project in New York City.
  • Represented an investment bank in connection with the proposed formation of a fund intended to purchase senior living facilities in the Midwest.

Leasing:

We often represent landlords, tenants and subtenants in connection with large and small lease transactions.

Representative Transactions:Manhattan Mall 2

  • Represented the landlord in the negotiation of retail leases for space within a hotel in New York City.
  • Represented tenant in the renegotiation of a ground lease of an industrial site in Brooklyn.
  • Represented a large law as the sublessor of several floors in a New York office building upon their merger with another firm.

Hospitality:

We’ve counseled the owners, investors and buyers of several existing hotels and sites to be developed as hotels throughout the country.

Representative Transactions:

  • Represented the purchaser of a long-term ground lease of property in mid-town Manhattan that has been converted into a hotel.
  • Represented the owner of the Four Seasons Hotel in Toronto, Canada in connection with the planned development of a hotel/residential condominium project.
  • Represented the seller of The Fairmont Hotel in Dallas, Texas.
  • Represented one of the joint venture partners that acquired The Plaza Hotel in New York City.

We represent developers and sponsors of cooperative and condominium apartment complexes, as well individuals in connection with the purchase, sale and refinancing of individual units.

Representative Transactions:

  • Represented a cooperative apartment building in Manhattan in the refinancing of its underlying loan.
  • Represented the purchaser of a loan in default secured by an apartment building in Florida.
  • Represented the purchaser of a construction loan in foreclosure on a residential and commercial condominium project in Sheepshead Bay New York
  • Representing the sponsors of 2 projects in New York City in the preparation and filing of their Offering Plans and related condominium documents

Contracts and Licenses:

Representative Transactions:

  • Represented a telecommunications company in the negotiation of its agreement to provide service and maintenance to prison telephone systems across the country on an outsourcing basis
